ActionPPV terms and conditions

These terms come in three parts. Part A applies to everyone who uses actionppv.com. Part B applies to fans who buy or use a pass. Part C applies to clubs that sell streams through ActionPPV.
Part A: The basics (everyone)
1. Who we are
1.1 actionppv.com ("the Platform") is operated by Action PPV Limited, a company registered in England and Wales under company number 17406295, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("ActionPPV", "we", "us").
1.2 You can contact us at hello@actionppv.com. That address is also where refund requests, complaints, content reports and legal notices should go.
2. What ActionPPV is, and who you're buying from
2.1 The Platform lets grassroots sports clubs ("Clubs") sell live streams of their events, and replays of those streams, to supporters ("Fans"). Access to a stream is sold as a "Pass".
2.2 When a Fan buys a Pass, the seller is the Club, not ActionPPV. The contract of sale for each Pass is between the Fan and the Club whose event it is. ActionPPV acts as the Club's commercial agent: we operate the event page, conclude the sale on the Club's behalf, collect payment through our payment provider (Stripe), and deliver the stream and replay using our technology.
2.3 Payment made by a Fan through the Platform discharges the Fan's payment obligation to the Club, even if we or Stripe fail to pass the money on to the Club.
2.4 These terms form two agreements: (a) between ActionPPV and every user of the Platform (Part A, and Part B for Fans); and (b) between ActionPPV and each Club (Parts A and C).
3. Rules for using the Platform
3.1 You must not: (a) use the Platform for anything unlawful; (b) interfere with, overload, or attempt to gain unauthorised access to the Platform, other accounts, or the streaming infrastructure; (c) scrape, harvest or index content or data; (d) circumvent, or attempt to circumvent, any access control, screen limit, payment step or technical protection; (e) give us false or misleading information; or (f) impersonate any person, club or organisation.
3.2 If you believe content on the Platform is illegal, infringes rights, involves a risk to a child, or otherwise breaks these terms, report it to hello@actionppv.com. We review reports and may remove or disable content, suspend accounts, revoke Passes, and where appropriate inform authorities. We will act promptly and proportionately, and where we take action against your content or account we will tell you why unless the law prevents us.
4. Intellectual property
4.1 The Platform, including its software, design, player, wordmark and branding, belongs to ActionPPV or its licensors. We grant you a limited, revocable, non-transferable right to use it as these terms allow, and no more.
4.2 Event content (streams, replays, recordings, posters) belongs to the relevant Club or its licensors. It is licensed to us to operate the service (see Part C) and licensed to Fans only as Part B describes.
5. Availability
5.1 We provide the Platform with reasonable skill and care, but we do not promise it will be uninterrupted or error-free. Live streaming also depends on things outside our control, most obviously the internet connection at the Club's venue. Section B7 explains what happens when a stream has problems, and nothing in this section takes away a consumer's statutory rights.
6. Our liability
6.1 Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under the law of England and Wales.
6.2 If you are a consumer: we are responsible for foreseeable loss and damage caused by our breach of these terms or our failure to use reasonable skill and care, and nothing in these terms affects your statutory rights (including under the Consumer Rights Act 2015). We are not responsible for loss that was not foreseeable, loss caused by an event or content that is the Club's responsibility under these terms, or business losses. The Platform is for private use by Fans.
6.3 If you are a Club (a business): clause C19 applies instead of 6.2.
7. Changes to these terms
7.1 We may update these terms from time to time, for example to reflect new features or changes in the law. The date at the top shows the current version. For material changes we will give Clubs reasonable advance notice by email. Changes do not affect Passes already bought, which stay on the terms in force at the time of purchase.
8. General
8.1 These terms are governed by the law of England and Wales. Claims may be brought in the courts of England and Wales; if you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and you keep the benefit of any mandatory consumer protections of the country you live in.
8.2 If any part of these terms is found unenforceable, the rest stays in force. If we delay enforcing any right, we can still enforce it later. You may not transfer your rights under these terms without our consent; we may transfer ours to a successor of the business, and will tell you if we do. Except where these terms say otherwise (for example, a Club's rights regarding its own event sales), no one other than you and us has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
8.3 If you're unhappy with anything, email hello@actionppv.com. We would rather fix a problem than argue about it. If you are a consumer and we can't resolve a dispute, you may also have the option of alternative dispute resolution.
Part B: Fans
B1. Buying a Pass
B1.1 You must be at least 18 to buy a Pass. No account is needed. You buy with an email address, and your Pass (a personal watch link) is emailed to that address. Check the address carefully and check spam; if the email hasn't arrived, contact us and we will re-send it.
B1.2 If you enter someone else's email address at checkout, you are buying the Pass as a gift for them. The recipient becomes the Pass holder, and these terms apply to them.
B1.3 The price is the price shown on the event page at checkout, in pounds sterling, and includes VAT where any applies. Payment is processed by Stripe; we never see your full card details.
B1.4 Your contract for the event is with the Club (see clause 2.2). We are responsible to you for delivering the stream and replay with reasonable skill and care. The Club is responsible for the event itself: that it takes place, starts broadly on time, and is what its listing described.
B2. What your Pass gets you
B2.1 A Pass gives you a personal, non-transferable, non-exclusive licence to watch the event's live stream and, where the event page says a replay is included, the replay for the stated replay window. It is for private, non-commercial viewing in a domestic setting.
B2.2 A Pass can be open on up to two screens at the same time. Watching on your phone and your TV is fine. If a third screen opens, one of the others must be closed first.
B2.3 The replay window (for example 30 days) is stated on the event page and runs from when the live stream actually ends. If an event overruns, the replay window shifts with it. Replays bought after the event ("replay Passes") run for the access period shown at the time of purchase. Recordings are not kept forever. Once the replay window (or the recording's retention period) ends, the content is gone and cannot be re-supplied.
B3. What you must not do with a Pass
B3.1 You must not: (a) share, publish or sell your watch link, or make it available beyond your household; (b) record, screen-capture, download, re-stream or re-broadcast any part of a stream or replay; (c) show a stream or replay publicly or commercially, including in pubs, bars, clubhouses, gyms or at any event with an entry charge; (d) circumvent or attempt to circumvent the screen limit or any technical protection; or (e) use a Pass in connection with any betting, commercial or promotional activity.
B4. If a Pass is misused
B4.1 If a Pass is used in breach of section B3, we may revoke it immediately without refund. For serious misuse, in particular commercial re-streaming or public exhibition, ActionPPV and the Club each reserve all legal rights and remedies, including claims for the losses caused. We may also block future purchases by the person responsible.
B5. Immediate delivery and your right to cancel
B5.1 A Pass is digital content delivered immediately: your watch link is issued as soon as payment completes. By purchasing, you expressly request immediate delivery and acknowledge that, once delivery has begun, you lose the statutory 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
B5.2 That does not affect the refunds set out in B6 and B7, and it never affects your statutory rights where the content or service is faulty or not as described.
B6. Cancelled and postponed events
B6.1 If an event is cancelled, you are entitled to a full refund of what you paid. We (acting for the Club) will email the address on your Pass; refunds go to your original payment method.
B6.2 If an event is postponed, your Pass stays valid for the new date. If you can't make the new date, contact us before the event starts and you'll get a full refund.
B7. If the stream has problems
B7.1 Live streaming from small venues is not studio television. Short interruptions can happen; the stream is designed to reconnect automatically, and a holding screen while it does is part of normal operation, not a failure. Every Pass that includes a replay lets you re-watch anything you missed.
B7.2 If the stream doesn't run at all, you are entitled to a full refund. Email hello@actionppv.com within 14 days of the event date, from the address you bought with.
B7.3 If the stream ran but you had significant problems, such as extended outages or persistent unwatchable quality, contact us within 14 days of the event and tell us what happened. We (with the Club) will put it right in a way that fairly reflects how much of the event was actually watchable: that may be a partial or full refund. This policy sits alongside, and does not replace, your statutory rights under the Consumer Rights Act 2015.
B7.4 Problems on your side, such as your own connection or device, or entering the wrong email address, are not stream failures, though we will always try to help.
B8. Refund mechanics and chargebacks
B8.1 Refunds are made to the original payment method through Stripe. Once issued, banks typically take a few working days to show the money.
B8.2 Please contact us before raising a dispute with your bank or card issuer. Chargebacks raised without contacting us first, where the Pass was delivered and the event ran, may result in the Pass being revoked and future purchases declined.
B9. The content is the Club's
B9.1 Clubs are responsible for their events and their content: descriptions, posters, what happens in the ring or on the pitch, and holding the rights needed to broadcast it. If you have a concern about the content of a stream, report it under clause 3.2.
Part C: Clubs
This part is a business-to-business agreement between the Club and ActionPPV. By creating a club on the Platform, or by using it for a Club, you accept it on the Club's behalf.
C1. Who can open a club account
C1.1 The person creating or running a club account must be at least 18 and authorised to act for the Club. You confirm both by creating the account. If you are not authorised, you are personally responsible for the obligations in this Part.
C1.2 New clubs require our approval before events can go on sale. We may decline, suspend or withdraw approval, for example where we suspect fraud, rights problems, safeguarding concerns, or a breach of these terms. Where practicable we'll tell you why.
C1.3 Keep your account credentials secure. You are responsible for what is done through your club account by people you give access to.
C2. Payments, Stripe and your appointment of us
C2.1 To sell Passes, the Club must complete onboarding with Stripe, our payment provider. Payments for your Passes are collected into your connected Stripe account. Stripe's own terms (including the Stripe Connected Account Agreement) apply to you, and Stripe may require identity and bank verification. No completed Stripe onboarding, no sales.
C2.2 The Club appoints ActionPPV as its non-exclusive commercial agent to market and conclude sales of Passes on its behalf, collect payment from Fans, deliver streams and replays, handle Fan communications about access and refunds, and issue refunds that the Club is obliged to give under these terms.
C3. Our fee
C3.1 Our fee is 20% of the gross price of each Pass sold (the "Platform Fee"), deducted automatically at the point of sale. Payment processing is included in the Platform Fee, so the Club receives 80% of gross Pass sales.
C3.2 No sale, no fee. If a Pass sale is fully refunded, or is lost to a chargeback, the Platform Fee on that sale is returned to the Club. Free passes carry no fee.
C4. Payouts
C4.1 Your net proceeds are paid out to the Club's bank account by Stripe, under Stripe's payout schedule and policies. Timing varies. It can be quick, and is normally within 7 days of the event ending. Your dashboard shows the exact figures. Stripe's and your bank's processing times are outside our control.
C4.2 We may pause the release of funds, in whole or part, where reasonably necessary: while a chargeback or fraud investigation is open, where the event did not run, or where we reasonably believe refunds will be due. We'll hold no more than the amount reasonably at issue, and release it when the matter is resolved.
C5. Refunds and chargebacks are your cost
C5.1 Refunds to Fans, including those required by section B6 (cancellations and postponements), B7 (stream failure) and consumer law, come out of the Club's funds. The Platform Fee on any fully refunded sale is returned per C3.2.
C5.2 You can issue refunds from your dashboard. Where a Fan is entitled to a refund under these terms and the Club has not processed it within 7 days of our request, the Club authorises us to issue it on the Club's behalf from the Club's funds.
C5.3 Chargebacks: the disputed amount, and any dispute fee charged by the payment processor, are deducted from the Club's funds. We show disputes and evidence deadlines in your dashboard; provide evidence promptly if you want to contest.
C6. What you promise us about every event
C6.1 For every event you stream, the Club warrants that:
(a) it has the full right to broadcast the event, including any permissions needed from the venue, from participants, coaches and officials appearing in the broadcast, and from its governing or sanctioning body, and no exclusive broadcast or media deal is breached by streaming it;
(b) music: the stream will not include recorded music (walk-out music, PA music) unless the Club holds the rights needed for internet transmission. A venue's PPL/PRS licence generally does not cover streaming. Keep protected music out of the broadcast or clear it;
(c) any posters, images or text it uploads are its own or properly licensed, and event listings are accurate and not misleading;
(d) the event is lawful, properly sanctioned where sanctioning applies, and run in accordance with the rules and safety requirements of the relevant sport.
C7. Under-18 participants
C7.1 Grassroots sport includes under-18 competitors, and they may appear in streams only if the Club: (a) holds verifiable parental or guardian consent for each under-18 participant to appear in the live broadcast, replay and recording; (b) complies with its governing body's safeguarding policies and all applicable law; and (c) keeps records of those consents and produces them to us on request.
C7.2 The Club, not ActionPPV, is responsible for safeguarding at its events and in its broadcasts. We may remove content or suspend a club immediately where we have a safeguarding concern, and may refer concerns to the relevant authorities.
C8. Prohibited content
C8.1 No unlawful events or content; no unsanctioned or illegal fighting; no content that incites hatred or violence; nothing that sexualises, endangers or exploits a child; no streams of events the Club has no right to broadcast. We may remove content, cancel events, revoke Passes and terminate accounts for breach. Where we do, any resulting refunds are the Club's cost under C5.
C9. Licence you grant us
C9.1 The Club keeps ownership of its content. The Club grants ActionPPV a worldwide, non-exclusive, royalty-free licence to receive, encode, transcode, record, store, reproduce and transmit its content as needed to operate the service: delivering the live stream and replay to Pass holders, making recordings available to the Club, and keeping operational copies.
C9.2 The Club also grants us a non-exclusive licence to use its name, logo, event posters and short clips (up to 60 seconds) of its streams to promote the Club's events and the Platform. We won't suggest any endorsement beyond the Club being on the Platform. The Club can end this promotional licence for future use at any time by emailing us.
C10. Recordings, replays and deletion
C10.1 Replay availability and length are per-event settings chosen by the Club. Recordings can be downloaded by the Club while available and are automatically deleted on the schedule shown in your dashboard. Events moved to the trash are permanently deleted after 60 days. We are not an archive, so download anything you want to keep. Once deleted, content cannot be recovered.
C11. Free passes
C11.1 The Club may issue a capped number of free passes per event. They have no monetary value, are subject to Part B, and can be revoked like any Pass.
C12. Participants and fighters
C12.1 Any arrangement between the Club and its fighters or participants, including sharing revenue or crediting sales attributed to a fighter's link, is the Club's own affair. Sales attribution shown in your dashboard is informational; ActionPPV is not party to, and has no liability under, any such arrangement.
C13. Taxes
C13.1 The Club is responsible for its own tax position, including any VAT, on its Pass sales and payouts. Prices shown to Fans are the final price paid by the Fan. If the Club is or becomes VAT-registered, it is responsible for accounting for VAT on its sales and must tell us.
C14. Cancelling and postponing events
C14.1 If you have to cancel, do it in the dashboard as soon as you know. Pass holders are then entitled to full refunds (B6). If you postpone, Passes carry over to the new date and Fans who can't make it get refunds on request. Repeated cancellations or events that fail to run may lead to suspension.
C15. Streaming realities
C15.1 We aim for every Pass holder to always have something to watch: if your broadcast drops, viewers see a holding screen and the stream resumes when you reconnect, within a reconnection window (currently 30 minutes). If you don't reconnect within it, the event may be treated as ended. You are responsible for your equipment and the venue's internet connection. We don't guarantee uninterrupted service, and clause B7 governs what Fans are owed when things fail.
C16. Indemnity
C16.1 The Club will indemnify ActionPPV against losses, claims, damages, costs (including reasonable legal costs) and regulatory penalties arising from: breach of the warranties in C6 or C7; the Club's content; the conduct or safety of its events; claims by participants, rights holders or governing bodies; and the Club's tax obligations.
C17. Term, suspension and ending things
C17.1 There is no lock-in: no subscription, no minimum term. The Club can stop using the Platform at any time; obligations for events already sold (running them or refunding them) survive.
C17.2 We may suspend or terminate a club account for material breach, suspected fraud, safeguarding concerns, legal risk, or Stripe's requirements. On termination, scheduled events with sales must either run or be refunded; remaining balances are paid out after any holds under C4.2 resolve.
C18. Data
C18.1 Each party will comply with UK data protection law. Fan email addresses are shown to the Club masked; the Club may reveal a buyer's email only for legitimate purposes connected to that sale (support, refunds) and must not use Fan data for marketing without a lawful basis of its own. Our Privacy policy describes our processing.
C19. Our liability to Clubs
C19.1 Subject to clause 6.1 (which always applies): our total liability to a Club in any 12-month period is capped at the Platform Fees we earned from that Club in that period; and we are not liable for loss of profits, loss of revenue, loss of opportunity, or indirect or consequential loss. The Club acknowledges that live streaming carries inherent technical risk and that ticket revenue from a stream is never guaranteed.
